The basics
What is a No Dues Certificate?
A no dues certificate is a short letter issued by an organisation confirming that a specific person has no pending dues, obligations, or unreturned assets with it as on a stated date. The organisation issuing the certificate can be an employer, a school or college, a bank or NBFC, a housing society, a telecom provider, or a utility. The person receiving the certificate can be an exiting employee, a graduating student, a customer closing a loan, or a flat owner selling or transferring their unit.
The certificate has a narrow scope: it only says that as on the issue date, the organisation has no claims against the named person. It does not release any future liability that may come to light later, and it does not waive any pre-existing obligations that were not disclosed at the time of issue. For this reason it is often issued after an internal clearance process where different departments (finance, IT, HR, library, administration) confirm that their respective records are clean. Once all internal clearances are in, the HR head, the registrar, the branch manager, or the society secretary signs the combined no dues certificate on the organisation's letterhead.

Legally valid under Indian law
A no dues certificate is a single-party declaration by an organisation. It is not a contract, not a negotiable instrument, not an affidavit, and not a power of attorney, so it is not on the Schedule I exclusion list of the Information Technology Act, 2000. It is fully eligible for Aadhaar eSign under Section 3A of the IT Act 2000, and an Aadhaar eSigned no dues certificate carries the same legal standing as a physically signed one on letterhead. The legal weight of the certificate comes from the internal books and records of the issuing organisation. For employer no dues, the supporting basis is the employment contract, the Payment of Wages Act, 1936, and the Shops and Establishments Act of the state. For bank loan no dues, the supporting basis is the loan agreement and the Reserve Bank of India guidelines on release of property documents to borrowers, which require lenders to release original documents within 30 days of loan closure. For college no dues, the supporting basis is the institutional bye-laws and the UGC Regulations on student records. For housing society no dues, the supporting basis is the state Co-operative Societies Act and the bye-laws of the society. The certificate is a snapshot statement of fact as on the issue date. It does not release any liability that arises later. It does not require stamp paper, notarisation, or registration. It is single-party signing by the authorised representative of the organisation. The person about whom the certificate is issued does not sign their own no dues certificate.

Important note
A no dues certificate reflects the position as on its issue date. If a dispute or undisclosed liability is discovered later, the certificate does not by itself waive the organisation's right to recover.
