The basics

What is a No Dues Certificate?

A no dues certificate is a short letter issued by an organisation confirming that a specific person has no pending dues, obligations, or unreturned assets with it as on a stated date. The organisation issuing the certificate can be an employer, a school or college, a bank or NBFC, a housing society, a telecom provider, or a utility. The person receiving the certificate can be an exiting employee, a graduating student, a customer closing a loan, or a flat owner selling or transferring their unit.

The certificate has a narrow scope: it only says that as on the issue date, the organisation has no claims against the named person. It does not release any future liability that may come to light later, and it does not waive any pre-existing obligations that were not disclosed at the time of issue. For this reason it is often issued after an internal clearance process where different departments (finance, IT, HR, library, administration) confirm that their respective records are clean. Once all internal clearances are in, the HR head, the registrar, the branch manager, or the society secretary signs the combined no dues certificate on the organisation's letterhead.

Common mistakes to avoid

What goes wrong when no dues certificates are signed the traditional way.

Issuing a no dues certificate before all internal departments have confirmed clearance

Leaving the issue date blank or using an old date that does not match the actual clearance date

Using a vague statement like 'nothing is pending' without naming the specific heads or departments checked

Releasing the certificate without collecting the employee ID card, laptop, or access cards where relevant

For banks, releasing the no dues before the final EMI has fully cleared in the system

For societies, issuing a no dues certificate without checking special assessment or sinking fund arrears

Legally valid under Indian law

A no dues certificate is a single-party declaration by an organisation. It is not a contract, not a negotiable instrument, not an affidavit, and not a power of attorney, so it is not on the Schedule I exclusion list of the Information Technology Act, 2000. It is fully eligible for Aadhaar eSign under Section 3A of the IT Act 2000, and an Aadhaar eSigned no dues certificate carries the same legal standing as a physically signed one on letterhead. The legal weight of the certificate comes from the internal books and records of the issuing organisation. For employer no dues, the supporting basis is the employment contract, the Payment of Wages Act, 1936, and the Shops and Establishments Act of the state. For bank loan no dues, the supporting basis is the loan agreement and the Reserve Bank of India guidelines on release of property documents to borrowers, which require lenders to release original documents within 30 days of loan closure. For college no dues, the supporting basis is the institutional bye-laws and the UGC Regulations on student records. For housing society no dues, the supporting basis is the state Co-operative Societies Act and the bye-laws of the society. The certificate is a snapshot statement of fact as on the issue date. It does not release any liability that arises later. It does not require stamp paper, notarisation, or registration. It is single-party signing by the authorised representative of the organisation. The person about whom the certificate is issued does not sign their own no dues certificate.

Reference: Section 3A, IT Act 2000

Important note

A no dues certificate reflects the position as on its issue date. If a dispute or undisclosed liability is discovered later, the certificate does not by itself waive the organisation's right to recover.

Frequently asked questions

Who signs an employee no dues certificate?
Usually the HR head, the HR business partner, or an authorised HR representative. The exiting employee does not sign their own no dues certificate. Internal departments confirm clearance, and HR consolidates it into one signed letter.
Is a no dues certificate mandatory for full and final settlement?
It is a standard HR practice and is referenced in most employment contracts as a condition for releasing the final settlement and the relieving letter. It is not a statutory requirement but it is near-universal in Indian HR workflows.
Does a bank no dues certificate release the property documents?
The no dues certificate is one of the documents issued after loan closure. The Reserve Bank of India requires banks to release original property documents to the borrower within 30 days of full repayment, and the no dues certificate is usually issued as part of that release.
Is an eSigned no dues certificate accepted by the next employer?
Yes, most Indian employers accept an Aadhaar eSigned PDF as proof of clearance from the previous employer. A few conservative employers still ask for a wet-signed letterhead copy, which you can print from the signed PDF.
Does a no dues certificate need stamp paper?
No. It is an administrative certificate on letterhead and does not attract stamp duty. Notarisation and registration are also not required.
Can a student request a no dues certificate before the final semester ends?
Yes, but the certificate will only cover the period for which clearance has been confirmed. For degree release, the institution usually waits for the final semester to close.
What if a liability is discovered after the no dues certificate is issued?
The certificate is a snapshot statement as on its issue date. It does not by itself waive later-discovered liabilities. The issuer can still raise the issue if the underlying liability was not disclosed or not visible at the time of issue.
