What is a NOC Letter?

A No Objection Certificate, commonly called an NOC, is a short written letter from one party (the issuer) declaring that they have no objection to a specific action by another party (the subject). It is one of the most flexible administrative documents in India and shows up in almost every major life event. An employer issues an NOC so an employee can take up a second job or apply for a passport. A landlord issues an NOC so a tenant can take a gas connection or a commercial license. A housing society issues an NOC for renting, for selling, or for rooftop installations. A parent issues an NOC for a minor's passport. A bank issues an NOC after a loan is fully paid.

What makes the NOC confusing is that the same phrase covers many very different documents. This page is about the general NOC letter format, the umbrella that most day-to-day requests fall under. SignSetu also maintains dedicated pages for specific variants like NOC for passport, NOC from employer, and society NOC for rent, because the language and legal context differ in each case. If the situation is clearly one of those specific variants, it is usually better to follow that dedicated page rather than the general NOC format.

A general NOC is a single-party document. Only the issuer signs. The subject (the employee, tenant, or applicant) does not sign their own NOC. The letter is addressed either to the subject directly or to a third party such as a government office, a gas agency, a bank, or a licensing authority. It is usually short, one page or less, and does not require stamp paper, notarisation, or registration. The Aadhaar eSign workflow fits this use case cleanly because it provides the issuer's verified identity and a trusted timestamp without any physical paperwork.

Who needs a noc letter?

Employers and HR managers

Issue an NOC so an employee can take up a second assignment, apply for a passport, pursue higher studies, or attend an external assignment.

Landlords and property owners

Issue an NOC so a tenant can apply for a gas connection, an electricity meter, a commercial license, or a change of address.

Housing societies and RWAs

Issue an NOC for a member who wants to rent out a flat, sell a unit, renovate, or install rooftop solar or a satellite dish.

Parents and guardians

Issue an NOC for a minor child's passport, international school trip, sports tournament, or any activity that needs parental consent.

Legal framework

Legally valid under Indian law

A No Objection Certificate is a factual statement by one party that they have no objection to a specific act by another party. It is not a contract, not a promissory note, not a negotiable instrument, and not any of the other categories excluded by Schedule I of the Information Technology Act, 2000. Because of this, the NOC is fully eligible for Aadhaar eSign under Section 3A of the IT Act 2000, and an Aadhaar eSigned NOC carries the same legal standing as a handwritten signed copy on letterhead. The receiving authority, however, governs how the NOC is used. For example, a gas agency accepting a landlord NOC relies on the gas distribution guidelines of the oil marketing companies. A municipal corporation accepting a society NOC for construction relies on the state municipal laws and development control rules. The Passport Seva portal accepting an employer NOC relies on the Passport Act, 1967 and the Passport Rules, 1980. In each case, the NOC itself is only a statement of fact. Whether it is accepted depends on the receiving authority's own rules about who can issue an NOC and what it should contain. The general NOC does not need stamp paper. It does not need to be notarised. It does not need to be registered. It is single-party signing, and only the issuer needs to eSign. If the situation involves a specific regulated use like a passport application, a second employment clearance, or a rented property NOC for a minor, it is worth checking the dedicated page for that variant because the language and identity proofs differ.

Primary reference: Section 3A, IT Act 2000

Important note

The general NOC format is not a substitute for specific NOCs required under regulated processes (passport, bank loan closure, society transfer). For those, follow the dedicated variant page or the format prescribed by the receiving authority.

Essential clauses

  • Letterhead or name and address of the issuing party
  • Date and reference number
  • Full name and address of the person for whom the NOC is issued
  • Clear subject line stating 'No Objection Certificate for [specific purpose]'
  • Explicit statement that the issuer has no objection to the specific act by the subject
  • Specific details of the act being permitted (for example, taking a gas connection at a specific address)
  • Validity period or date up to which the NOC applies, if the purpose is time-bound
  • Contact details of the issuer so the receiving authority can verify
  • Signature, name, and designation of the issuer

Common mistakes

Using the general NOC format when a specific variant is required (for example, passport NOC, loan closure NOC, society transfer NOC)
Writing vague phrases like 'no objection for any purpose' instead of specifying the exact act being permitted
Forgetting the date and reference number, making the NOC hard to verify later
Asking the subject to sign their own NOC, which defeats the purpose
Leaving out the issuer's contact number, which the receiving authority often uses to call and verify
Issuing an NOC for a period that has already passed

How to eSign online

  1. 1

Draft the NOC on your letterhead

Pick the right variant for your use case. State the subject's name, the specific act you have no objection to, and the date. Export to PDF.

  2. 2

    Upload the PDF to SignSetu

Drop the NOC into SignSetu. The signer is the issuing party, not the subject of the NOC.

  3. 3

    eSign with Aadhaar OTP

As the issuer, enter your Aadhaar number and OTP. Share the signed PDF with the subject, who will forward it to the receiving authority.

FAQs

What is the difference between an NOC and a consent letter?
They overlap. An NOC is usually addressed to a third party (a government office, bank, or agency) and states that the issuer has no objection to an act. A consent letter is usually addressed to the person doing the act. The language and the recipient are different, but both are factual statements.
Does an NOC need stamp paper in India?
No. A general NOC is a simple letter and does not attract stamp duty. Some specific NOCs tied to property transfer may be attached to stamped instruments, but the NOC itself is on plain paper or letterhead.
Can an employee sign their own NOC?
No. The whole purpose of an NOC is that someone else (the employer, landlord, society, or parent) states that they have no objection. A self-issued NOC has no value.
Is an eSigned NOC accepted by government offices?
Most modern government portals accept digitally signed PDFs. A few traditional offices still want a wet-signed letterhead copy. Print the eSigned PDF and carry it along if you are not sure.
How long is a general NOC valid?
As long as the purpose it was issued for remains relevant. For time-bound uses like a gas connection or a visa application, a fresh NOC is usually requested each time.
Can a parent issue an NOC for a minor's passport?
Yes. This is a common use case. For a minor's passport, the Passport Seva portal accepts a signed NOC from the parent along with Annexure H or the applicable annexure for the passport category.
Where do I find the specific NOC format I need?
SignSetu has dedicated pages for NOC for passport, NOC from employer, and several other common variants. When the use case is regulated, use the dedicated page instead of the general format.
