What is Non-Disclosure Agreement?
A Non-Disclosure Agreement (NDA), also called a confidentiality agreement, is a legal contract between two or more parties that establishes a confidential relationship. The parties agree that certain information shared between them will not be disclosed to third parties. NDAs are commonly used in startups protecting their product ideas, in hiring processes to protect trade secrets, between vendors and clients to protect commercial information, and during due diligence for acquisitions.
In India, NDAs are governed by the Indian Contract Act, 1872 as well as equitable principles around confidentiality. A well-drafted NDA typically specifies: what information is considered confidential, who the parties are, how the information can be used, the term of the NDA, exclusions (e.g., publicly known information), and the consequences of breach.
NDAs are one of the most frequently signed business documents in India, and the traditional signing process (print, sign, scan, email) is one of the biggest friction points in early-stage deal making. Aadhaar eSign reduces this to under 2 minutes per party.

- Parties to the agreement (clearly identified with full legal names and addresses)
- Definition of 'confidential information' (what exactly is being protected)
- Obligations of the receiving party (how the information can and cannot be used)
- Exclusions from confidentiality (public info, independently developed info, etc.)
- Term of the NDA (typically 2-5 years, sometimes perpetual for trade secrets)
- Return or destruction of confidential information upon termination
- Remedies for breach (injunctive relief, damages, indemnification)
- Governing law and jurisdiction (usually Indian courts, specific city)
- Survival clause (which obligations continue after termination)
Common mistakes to avoid
Legal validity of an eSigned NDA
NDAs are fully eligible for Aadhaar eSign under Section 3A of the IT Act, 2000. The underlying contract framework (Indian Contract Act, 1872) recognizes electronic contracts as valid. An eSigned NDA is enforceable in Indian courts and admissible as evidence under Section 65B of the Indian Evidence Act. For additional protection, some parties choose to have the NDA on stamp paper (usually ₹100-500 depending on the state), though this is not strictly required for enforceability.
