What is Service Agreement?

A service agreement is a contract between a service provider (freelancer, agency, consultant, or vendor) and a client that defines the services to be performed, the payment terms, deliverables, timelines, and the responsibilities of each party. Legal validity of an eSigned service agreement

Service agreements are fully eligible for Aadhaar eSign under Section 3A of the IT Act 2000. Since they're commercial contracts governed by the Indian Contract Act, 1872, they don't require stamp paper for basic enforceability (though many businesses use ₹100-500 stamp paper for evidentiary weight). The eSigned PDF includes cryptographic signatures from both parties that satisfy the evidence requirements under Section 65B of the Indian Evidence Act. Disputes arising from service agreements can be taken to civil court or resolved via arbitration if the agreement includes an arbitration clause.

Is an eSigned service agreement legally enforceable?
Yes. Service agreements are commercial contracts and are fully enforceable under the Indian Contract Act 1872. An Aadhaar eSigned version has the same legal weight as a physically signed agreement.
Do I need stamp paper for a service agreement?
Not strictly required for basic enforceability. However, for agreements with significant value (typically above ₹1 lakh), many businesses use ₹500 stamp paper to add evidentiary weight in case of disputes.
Can international clients sign via Aadhaar eSign?
Only if they have an Indian Aadhaar. For foreign clients without Aadhaar, you'll need a hybrid approach where the Indian party eSigns via Aadhaar and the foreign party signs via DocuSign or similar. The combined document is still legally valid.
What's the difference between a service agreement and an employment contract?
A service agreement creates an independent contractor relationship — the service provider is their own boss, handles their own taxes, and isn't entitled to employee benefits. An employment contract creates an employer-employee relationship with all the associated obligations (PF, gratuity, notice period, etc.).
Can the client terminate the service agreement anytime?
Only as per the termination clause in the agreement. Usually agreements specify a notice period (e.g., 30 days) that either party must give before terminating. Without a termination clause, termination becomes legally messy.
Should the IP clause say the client owns the work?
Depends on the nature of the work. For pure service work (e.g., consulting), IP ownership isn't usually an issue. For creative or development work, the IP clause is critical — specify whether the client gets full ownership on delivery, a license, or whether the service provider retains IP.
