
5 Documents Every Freelancer Should eSign

Freelancers in India lose money, time, and creative work every year because they operate on informal agreements or plain email threads. The five documents below — each signed with a verifiable Aadhaar-based eSign — give you a legal paper trail that protects your income and your intellectual property from the first day of every engagement.
Why eSigning Matters More for Freelancers Than for Anyone Else
Employees have HR departments, employment contracts, and company legal teams behind them. Freelancers have only what they put in writing. A WhatsApp message saying "sounds great, let's start" is not a contract. It cannot be enforced in a civil dispute with any certainty.

Courts have to interpret intent rather than interpret a contract. That process is expensive and slow.

2. Service Agreement (or Freelance Contract)
Why you need it: The service agreement is the backbone of any freelance engagement. It defines what you will deliver, when you will deliver it, what you will be paid, the revision policy, what constitutes project completion, and what happens if the client cancels or you cannot deliver.
What happens without it: Scope creep. This is the single most common problem in Indian freelance work. A client who hired you for a "simple logo" asks for three colour variants, business card designs, letterhead, and social media assets — all for the original price. Without a written agreement defining scope, you have no contractual basis to charge more or decline.
What to include:
- Deliverables listed with specificity (not "a website" but "a 5-page WordPress website with specified pages")
- Timeline with milestones
- Payment schedule (percentage upfront, percentage on delivery)
- Revision rounds (e.g., two rounds of revisions included)
- Kill fee clause if the client terminates mid-project
- Late payment penalty (typically 1.5–2% per month in Indian contracts)

3. Invoice with Payment Terms
Why you need it: An invoice is a legal demand for payment. What happens without it: Clients delay payment indefinitely when there is no consequence attached. "We'll process it next cycle" becomes a recurring excuse. - Invoice number and date
- Client legal name and GSTIN (if registered)
- Your GSTIN or PAN
- Line-item breakdown of services rendered
- Total amount in INR
- Payment due date (typically 7–15 days from invoice date)
- Late fee: e.g., "A late payment fee of 1.5% per month applies after the due date"
- Accepted payment methods (NEFT, UPI, IMPS)

4. Project Scope Document (Statement of Work)
Why you need it: The scope document is distinct from the service agreement. The service agreement covers the relationship; the scope document covers the specific deliverable. What happens without it: Without a scope document, every request from the client is potentially in-scope. "Can you also add a FAQ section?" "Can you also fix the checkout bug?" "Can you also write social posts for the launch?" Each of these, without a documented and signed scope, is hard to invoice separately.
What to include:
- Specific features, pages, sections, or outputs
- Technology stack or tools to be used (for technical work)
- What is explicitly excluded
- Acceptance criteria: how the client determines work is complete
- Change request process: how out-of-scope requests will be priced

5. Intellectual Property Assignment Agreement
Why you need it: In India, under the Copyright Act 1957, the creator of a work owns the copyright by default — unless that copyright is explicitly assigned in writing. This means that if a client pays you to design a logo, write software, or produce photographs, you technically retain ownership of that work unless you sign an IP assignment.
Most clients expect to own the work they commissioned. Most freelancers assume the payment transfers ownership. Both assumptions are wrong without a written agreement.
What happens without it: The client cannot legally stop a competitor from using work they paid for, because they do not legally own it. Or conversely, you cannot legally use work you created in your portfolio without permission, because the client disputes ownership. These disputes are expensive and damage professional relationships permanently.
What to include:
- Description of the work being assigned
- Whether the assignment is full (all rights, worldwide, perpetual) or limited (specific territory, specific use)
- Whether you retain the right to show it in your portfolio
- Whether any underlying tools, frameworks, or assets used in creation are excluded from assignment
- Moral rights waiver (in India, creators retain moral rights even after assignment; waiving these explicitly is cleaner)
- Consideration: the payment received for the work
